Terms of Service

These terms govern your use of Skite. Read them carefully — by using the Service you agree to be bound by them.

1. Introduction

Welcome to Skite Edu Technology Limited ("Skite", "we", "our", "us"), a company incorporated in Nigeria with its registered office at Eketa Omo Street, Ibadan. These Terms of Service ("Terms") govern your use of our website at https://skite.co, our mobile application ("Skite"), and any associated services (together, the "Service").

Our Privacy Policy at https://skite.co/privacy forms part of these Terms. By using the Service, you confirm that you have read, understood, and agreed to both documents.

If you do not agree, please stop using the Service. For questions, contact hello@support.skite.co.

These Terms apply to every visitor, registered user, creator, and buyer on Skite.

2. Eligibility

You must be at least 18 years old to register or use Skite. By creating an account you confirm that you meet this requirement and have full legal capacity to enter into this agreement.

3. Accounts

When you create an account, you must provide accurate, current, and complete information, and keep it up to date. Inaccurate, incomplete, or fraudulent information may result in immediate suspension or termination.

You are responsible for all activity that occurs under your account and for keeping your password secure. Notify us immediately at hello@support.skite.co if you suspect unauthorised access.

You may not use a username that impersonates another person, infringes a trademark, or is offensive.

We may refuse service, suspend, or terminate any account at our sole discretion.

4. Communications

By registering, you agree to receive transactional emails (account, payment, booking notifications) and marketing communications. You may opt out of marketing at any time using the unsubscribe link in our emails. Transactional emails are required to operate the Service and cannot be opted out of while your account is active.

5. Buyers — Purchases and Payments

When you purchase a product, course, session, or service on Skite, you may be required to provide payment information including card details, billing address, and contact information.

You represent that:

  • You have the legal right to use the payment method.
  • The information you provide is true and complete.

We use third-party payment processors (currently Paystack and Stripe) to handle payments. By submitting payment information, you authorise us to share it with these processors as needed to complete the transaction, subject to our Privacy Policy.

We may decline or cancel any transaction at our discretion, including for suspected fraud, unauthorised use, error, or unavailability of the product or service.

Supported currencies: Nigerian Naira (NGN) and US Dollar (USD).

6. Creators — Sales, Payouts and Platform Fee

Creators may list digital products, courses, group chats, video sessions, and other offerings on Skite.

Platform fee. Skite charges a 5% platform fee on every successful transaction. The remaining 95% (less applicable payment processor fees, FX spread, and any chargeback or refund liability) is credited to your Skite wallet.

Payouts. Withdrawals are made:

  • In NGN to a verified Nigerian bank account, or
  • In USD to a USDT wallet address you provide.

We are not obliged to pay creators above the Central Bank of Nigeria (CBN) reference rate when converting between currencies, but we will use the best competitive rate reasonably available at the time of payout. Rates may differ slightly from third-party platforms.

Payment processors and gateways may change at our discretion.

7. Refunds

All sales on Skite are final. We do not provide refunds on completed purchases, completed sessions, or subscription fees, except as described in Section 8 ("Disputes") or as required by law.

8. Disputes Between Buyers and Creators

Booked 1:1 calls and class sessions — creator no-show. If a creator fails to attend a booked session and does not respond to follow-up within a reasonable window, Skite will automatically refund the booking amount to the buyer's Skite wallet. The buyer can then withdraw the balance to their bank account or USDT wallet.

Digital products, courses, and other content. Skite does not mediate disputes over delivered digital content. Buyers who believe a charge was unauthorised or fraudulent may file a dispute directly with their card issuer or with Paystack/Stripe; Skite will cooperate with the processor's dispute process.

We reserve the right at our sole discretion to investigate, escalate, or take additional action where fraud, impersonation, or abuse is suspected.

9. Chargebacks

If a buyer files a chargeback against a transaction on Skite, the affected creator is liable for an additional USD 15 chargeback fee (or the local-currency equivalent) to cover the cost charged to us by the payment network. This is in addition to any reversal of the original transaction amount.

10. Subscriptions (Future)

Skite does not currently charge a subscription fee to creators. We plan to introduce paid creator subscriptions in the future for access to premium platform features. When that happens, the following terms will apply:

  • Billing will be monthly, charged in advance.
  • Subscriptions will auto-renew unless cancelled before the next billing cycle.
  • A valid payment method (card or other supported instrument) is required.
  • If automatic billing fails, we will notify you and grant a 7-day grace period. After 7 days without successful payment, access to premium features will be suspended until payment is made.
  • You may cancel your subscription at any time from your account settings; cancellation takes effect at the end of the current billing cycle. We do not provide pro-rata refunds.

We may change subscription pricing at any time. Changes will be communicated in advance and take effect at the end of the current billing cycle.

11. Know-Your-Customer (KYC)

To comply with applicable financial regulations and to protect the platform from fraud, we reserve the right to require identity verification before processing payouts or at any other time we consider necessary. This may include:

  • Government-issued photo ID (e.g. national ID card, driver's licence, international passport)
  • Proof of address (e.g. utility bill)
  • Banking or wallet ownership confirmation

You consent to us sharing the documents and information you provide with secure third-party verification services and, where required by law, with regulatory authorities and law enforcement.

We may withhold payouts until KYC is satisfactorily completed.

12. Content

Skite allows you to post, link, store, share, and otherwise make available content including text, images, videos, audio, files, chat messages, and live session recordings ("Content").

You retain all ownership rights in your Content. By posting Content on the Service, you grant Skite a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, modify (for technical purposes such as transcoding), publicly display, distribute, and otherwise use the Content solely to operate, promote, and improve the Service. This licence ends when you delete the Content, except where it has been shared with others who have not deleted it.

By posting Content, you represent and warrant that:

  • The Content is yours or you have all necessary rights to it.
  • The Content does not infringe any third party's intellectual property, privacy, publicity, contract, or other rights.
  • The Content does not violate any law or these Terms.

You are solely responsible for your Content. Skite has the right (but not the obligation) to review, monitor, and remove Content that violates these Terms.

13. Code of Conduct and Prohibited Uses

You must use Skite lawfully and respectfully. You agree not to use the Service:

  • For any illegal activity under Nigerian, US, or your local law.
  • To engage in fraud, money laundering, or any deceptive practice.
  • To distribute viruses, malware, worms, trojans, or any harmful code.
  • To send spam, unsolicited promotional material, or chain communications.
  • To harass, threaten, defame, or harm any person.
  • To exploit, harm, or attempt to harm minors in any way.
  • To collect personal information about other users beyond what is necessary for legitimate transactions.
  • To impersonate any person, including Skite staff.
  • To scrape, mine, or extract data using bots, crawlers, or automated tools.
  • To overload, disrupt, or interfere with the Service or its infrastructure.
  • To circumvent or attack security measures, including via denial-of-service.
  • To manipulate ratings, reviews, or platform metrics.

Banned content categories include: adult or pornographic material, gambling, religious or political extremism, hate speech, content promoting violence, misinformation, content harmful to minors, and any content prohibited by Nigerian or international law.

We reserve the right to remove any Content and terminate any account at our sole discretion, with or without notice.

14. Promotions, Contests, and Giveaways

Any promotions we run will be governed by separate rules published at the time. Where those rules conflict with these Terms, the promotion rules apply for that promotion only.

15. Referrals and Affiliate Programme

Our referrals and affiliate programme is currently closed. It will launch in the future and will be governed by separate terms, which you will need to accept at that time.

16. Intellectual Property

The Service itself, including all software, design, brand, logos, and original content provided by Skite (excluding Content provided by users), is the exclusive property of Skite Edu Technology Limited and is protected by copyright, trademark, and other intellectual-property laws of Nigeria and internationally. Skite is a registered trademark of Skite Edu Technology Limited.

You may not use Skite's name, marks, or branding in connection with any product or service without our prior written consent.

17. Copyright Policy (DMCA)

We respect intellectual-property rights. If you are a copyright owner (or authorised representative) and believe Content on Skite infringes your copyright, send a notice to hello@support.skite.co with the subject line "Copyright Infringement" addressed to Skite Edu Technology Ltd — Legal Department, containing:

  • A physical or electronic signature of the rights-holder or authorised agent.
  • Identification of the copyrighted work claimed to be infringed.
  • The URL or specific location on Skite where the infringing material is located.
  • Your name, address, telephone number, and email.
  • A statement that you have a good-faith belief that the disputed use is not authorised.
  • A statement, under penalty of perjury, that the information is accurate and that you are the rights-holder or authorised to act on their behalf.

Bad-faith or misrepresented claims may make you liable for damages, including costs and legal fees.

18. Third-Party Services and Analytics

To operate and improve Skite we rely on third-party services that may process limited information about you:

  • Paystack and Stripe — payment processing.
  • Firebase (Authentication, Firestore, Cloud Messaging) — sign-in, real-time chat, push notifications.
  • AWS (S3, Amplify) — file storage and hosting.
  • Mixpanel — product analytics.
  • Google (Sign-In) — federated authentication.

Each of these providers has its own privacy policy. By using Skite you consent to your data being processed by these providers to the extent necessary to deliver the Service. Details are in our Privacy Policy.

19. Links to Other Websites

The Service may include links to third-party websites or services we do not own or control. We are not responsible for their content, privacy practices, or availability. You access them at your own risk; review their terms and privacy policies before use.

20. Disclaimer of Warranty

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, SKITE MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, UNINTERRUPTED OPERATION, OR FREEDOM FROM ERRORS, VIRUSES, OR HARMFUL COMPONENTS.

AS A PLATFORM CONNECTING BUYERS AND CREATORS, SKITE IS NOT LIABLE FOR FRAUDULENT, FAILED, OR INCOMPLETE TRANSACTIONS CARRIED OUT BY USERS, BUT RESERVES THE RIGHT TO DISCLOSE TRANSACTION DETAILS TO LAW ENFORCEMENT WHERE NECESSARY.

21. Limitation of Liability

To the maximum extent permitted by law, Skite and its directors, employees, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business arising from your use of (or inability to use) the Service.

Our total aggregate liability to you under these Terms will not exceed the greater of: (a) the platform fees you have paid to Skite in the twelve (12) months before the event giving rise to the claim, or (b) NGN 50,000.

22. Indemnity

You agree to indemnify and hold harmless Skite Edu Technology Limited, its directors, employees, and agents from any claim, demand, loss, liability, damage, or expense (including reasonable legal fees) arising from: (i) your use of the Service, (ii) your Content, (iii) your violation of these Terms, or (iv) your violation of any third-party right.

23. Termination

We may suspend or terminate your account and access to the Service immediately and without prior notice for any reason at our sole discretion, including but not limited to:

  • Fraud or suspected fraud.
  • Excessive chargebacks.
  • Violations of these Terms, the Code of Conduct, or any applicable law.
  • Repeated buyer or creator complaints.
  • Account dormancy.

On termination, you lose access to the Service and to any paid features. Buyers who purchased your Content may also lose access, except where their access is preserved by separate agreement. We may retain transaction and account records as required by law.

You may close your account at any time by emailing hello@support.skite.co or via your account settings.

Provisions which by their nature should survive termination — including ownership, indemnity, warranty disclaimers, limitation of liability, and dispute resolution — will survive.

24. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict-of-laws principles.

Any dispute, controversy, or claim arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Nigeria located in Ibadan, Oyo State.

25. Changes to the Service

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuance.

26. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent change. Material changes will be brought to your attention through the Service or by email where reasonable. Your continued use after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

27. Waiver and Severability

A failure by Skite to enforce any right under these Terms is not a waiver of that right. If any provision of these Terms is found by a court to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

28. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms presented to you for specific features, constitute the entire agreement between you and Skite regarding the Service and supersede any prior agreement on the same subject.
